Terms of Service

Introduction Please read these Terms of Service carefully before submitting your information or entering into a service agreement with The Intentional Parent Institute. By submitting your contact information through our website or signing a service agreement, you agree to be bound by these terms.
1. About The Intentional Parent Institute The Intentional Parent Institute is a parent coaching and training organization founded by Kaleesha Washington. IPI delivers structured, school-contracted parent engagement programs through a team of qualified facilitators, coaches, and subject matter experts. Services are delivered virtually via Zoom and contracted directly with schools, charter networks, and school districts. IPI operates under the laws of the State of Wyoming.
2. Services IPI provides structured, school-contracted parent coaching and training programs. Each annual contract includes two 10-week cohort sessions, one in the fall and one in the spring. Each week includes two virtual Zoom sessions — one focused training and one live question and answer session — for a total of forty sessions per contract year.
Sessions are facilitated by IPI team members, qualified guest facilitators, or partners invited by IPI, including but not limited to licensed therapists, child development specialists, educators, and other professionals whose expertise supports the program curriculum. All facilitators are vetted and approved at the sole discretion of IPI. The contracting school will be notified when someone other than the primary facilitator is leading a session.
The contracting school is responsible for communicating schedules, Zoom access links, and participation expectations to their parent community.
3. No Guarantees IPI provides parent coaching and training for educational and informational purposes only. IPI does not guarantee any specific outcomes, results, or improvements of any kind, including but not limited to improvements in student attendance, behavior, academic performance, teacher retention, school culture, or enrollment numbers. Results will vary based on the level of school participation, parent engagement, and other factors outside of IPI's control.
4. No Refunds All fees paid to IPI are non-refundable. No refunds will be issued for any reason, including but not limited to cancellation by the school, low parent participation, dissatisfaction with services, or circumstances outside of IPI's control. By entering into a service agreement with IPI, the contracting school acknowledges and agrees to this no refund policy.
5. Contracting Party IPI contracts directly with schools, charter networks, and school districts. The school or district, represented by an authorized administrator, is the contracting party and is responsible for all payment obligations and program coordination. Individual parents participating in sessions are not parties to the service agreement. Their participation is coordinated through the contracting school.
6. Payment Terms Payment terms and schedules are outlined in the individual service agreement. In the event of non-payment, IPI reserves the right to suspend or terminate services until payment is received in full.
7. Cancellation Policy Either party may cancel the service agreement with written notice as specified in the individual service agreement. Because all fees are non-refundable, cancellation by the school does not entitle the school to any refund of fees already paid. IPI reserves the right to cancel or reschedule individual sessions due to circumstances beyond its control, including illness, technical failures, or emergencies. Cancelled sessions will be rescheduled at no additional cost.
8. Intellectual Property All program content, curriculum, session materials, frameworks, worksheets, guides, and reports created or provided by IPI are the exclusive intellectual property of The Intentional Parent Institute. All rights are reserved. The contracting school is granted a limited, non-exclusive, non-transferable license to use IPI materials solely for the purpose of facilitating contracted IPI sessions within their school community during the term of the active service agreement. This license does not permit reproduction, distribution, modification, or use of IPI materials for any purpose outside of contracted sessions. Recording of IPI sessions by any party is strictly prohibited without prior written consent from IPI. Unauthorized recording or distribution of session content may result in immediate termination of the service agreement without refund.
9. Confidentiality The Parent Pulse Report and any summaries provided to the contracting school are for internal school leadership use only and may not be distributed outside of school leadership without prior written consent from IPI. IPI will never identify individual parents by name or other identifying information in any report or summary.
10. Technology and Virtual Sessions All sessions are delivered via Zoom. Participants are responsible for ensuring access to a stable internet connection and a compatible device. IPI is not responsible for technical difficulties experienced on the participant's end. Sessions affected by a technical failure on IPI's end will be rescheduled at no additional cost.
11. Limitation of Liability To the fullest extent permitted by applicable law, IPI and its founders, employees, partners, and facilitators shall not be liable for any indirect, incidental, consequential, or punitive damages of any kind arising out of or related to the services provided. IPI's total liability for any claim shall not exceed the total fees paid by the contracting school in the twelve months preceding the claim.
12. Indemnification The contracting school agrees to indemnify and hold harmless IPI and its founders, employees, partners, and facilitators from any claims, damages, losses, or expenses arising out of the school's use of IPI services, the school's breach of these terms, or any actions of the school's employees, administrators, or parent community members in connection with IPI sessions.
13. Governing Law These terms are governed by the laws of the State of Wyoming. Any disputes arising out of or related to these terms or the services provided shall be resolved in the courts of the State of Wyoming.
14. Modifications IPI reserves the right to modify these terms at any time. Updated terms will be posted on this website with a revised effective date. Continued use of IPI services after updated terms are posted constitutes acceptance of the revised terms.
